Self-Employed or SRL/BV in Belgium: When Does Incorporating Pay Off?
Incorporating (SRL/BV) often pays off when your profit exceeds what you need for private income. You can then leave part of the profit in the company, taxed at corporate tax (ISOC/Vennootschapsbelasting) rather than at progressive personal income tax (IPP/PB). Your Viseeon accountant calculates your tipping point using your real figures.

What signs show it is time to incorporate?
Your personal income tax grows faster than your profit
Personal income tax (IPP/PB) is progressive. Each extra euro of profit is taxed at your marginal rate, one of the highest in Europe. Beyond a certain level, a company becomes more tax-efficient.
Your private assets are exposed
As a sole trader, your private assets answer for your business debts. A client dispute or an unpaid supplier can reach your home. An SRL limits this risk, except in case of management fault.
You want to invest or take on a partner
Bringing in a partner, raising funds or financing an investment is easier with shares than with a sole proprietorship.
You do not know how much to pay yourself
In an SRL, you choose your director's remuneration. This choice affects personal income tax, social contributions and the applicable corporate tax rate. It is settled by calculation, not by guesswork.
You fear the complexity
Double-entry bookkeeping, annual accounts filed with the National Bank, a general meeting: an SRL demands more rigour. The gain must cover this extra cost.
How does the move to an SRL work with Viseeon?
Costed study
We compare your net disposable income as a sole trader and as an SRL, including social contributions, personal income tax and corporate tax, over three years.
Week 1
Choice of transfer method
Contribution in kind of your business, sale of some assets to the SRL, or a fresh start: each option has different tax effects, which we explain to you.
Week 2
Financial plan and notarial deed
We draw up the mandatory financial plan and coordinate with the notary the incorporation of the SRL and, where relevant, the report on contributions in kind.
Weeks 2 to 5
Administrative switchover
Registration of the SRL with the Crossroads Bank for Enterprises (BCE/KBO), VAT (TVA/btw) number, transfer of contracts, leasing, bank accounts and suppliers. Closure of the sole-trader activity or partial continuation, depending on the case.
Agreed switchover date
Remuneration and follow-up
We set your director's remuneration, your benefits and the schedule of advance payments, then review the optimisation every year.
First quarter as an SRL
What actually changes when you incorporate?
| Point | Sole trader (self-employed individual) | SRL director |
|---|---|---|
| Tax on profit | Progressive personal income tax on all profit | Corporate tax on the SRL's profit, personal income tax on your remuneration |
| Social contributions | On your net professional income | On the remuneration you pay yourself |
| Profit left in the business | Not possible, everything is taxed in your name | Possible, it stays in the SRL |
| Liability | Unlimited, private assets exposed | Limited to the contribution, except in case of management fault |
| Bookkeeping | Simplified possible depending on the case | Double entry and annual accounts filed with the NBB |
| Setting up | Registration with the BCE | Notary, financial plan, then BCE |
The reduced corporate tax rate. The standard rate is 25%. A small company pays 20% on the first €100,000 of taxable profit, under conditions. It must not be more than 50% owned by other companies. It must pay at least one director a minimum remuneration: for 2026 income (tax year 2027), about €50,000 (base amount of €25,000, indexed), or at least the taxable profit if that is lower. A young company is exempt during its first four taxable periods. Finally, flat-rate benefits in kind can no longer exceed 20% of directors' remuneration. The remuneration you pay yourself is therefore a key parameter.
Social contributions remain due. As an SRL director, you remain self-employed for social security purposes. In 2026, the rate is 20.50% on the part of the reference income up to €75,024.54, then 14.16% up to €110,562.42. Beyond that, no further contribution is due on that income.
Taking profit out of the SRL. Dividends are subject to withholding tax (précompte mobilier). The standard rate is 30%. Two reduced regimes exist for small companies. Under VVPRbis, dividends paid from the third financial year after the contribution are taxed at 18% since 1 July 2026 (previously 15%). Under the liquidation reserve, the company pays a 10% contribution, then 9.8% withholding tax on distribution after three years, i.e. 18% in total, for reserves built up from the financial year closed on 31 December 2025. We plan the mix of remuneration, dividends and benefits with you.
At what profit level should you incorporate?
There is no single legal threshold. The tipping point depends on your profit, your private income needs, your expenses and your family situation. Our simulator gives a first indication, and your accountant refines it.
Do you need capital to set up an SRL?
No, the SRL no longer requires a minimum capital. You must still bring enough starting equity for your activity, justified in a detailed financial plan.
Can I transfer my current business to the SRL?
Yes, through a contribution in kind of your business or of certain assets. This contribution has tax consequences and requires a specific report. Your accountant and notary guide you.
Will I pay less in social contributions as an SRL?
Not necessarily. Contributions are calculated on the remuneration you pay yourself. In 2026, the rate is 20.50% up to €75,024.54 of reference income, then 14.16% up to the ceiling of €110,562.42.
What remuneration should I pay myself as a director?
Enough to cover your private needs and, where relevant, to meet the conditions for the reduced corporate tax rate. The rest can stay in the SRL. We calculate this amount every year.
Does an SRL really protect my assets?
Liability is limited to your contribution. It can still be engaged in case of management fault, of an insufficient financial plan followed by a quick bankruptcy, or of personal guarantees given to the bank.
Does an SRL cost more in accounting?
Yes, generally. Double-entry bookkeeping, annual accounts and the corporate tax return require more work. This extra cost must be weighed against the expected tax gain.
Can I keep my car and my home office?
The car can be taken over by the SRL or made available to you, with a benefit in kind to calculate. The home office can be rented to the SRL within certain limits. We review these points case by case.
How long does the move to an SRL take?
Allow time for the study, the financial plan and the notary appointment. Together we set a switchover date, often at the start of a quarter to simplify VAT.
Can you go back?
It is possible but costly: dissolution, liquidation and exit taxation. This is why a thorough study matters before you incorporate.
